Terms of Service

1. The service

Toll402 ("we", "us") provides HTTP endpoints that AI agents and developers call to obtain data and computed results: first-party tools, community-forged tools, a verified business directory, and third-party provider APIs that we resell through a single account. Each call is priced individually and listed in the catalog before you call it. We may add, change, re-price or retire endpoints at any time; the price shown at the moment of the call is the price charged.

2. Accounts, keys and wallets

You can pay in two ways. (a) Prepaid credits: you buy a USD balance with a card through Stripe and receive an API key. Anyone holding that key can spend the balance, so keep it secret and rotate it (POST /v1/account/rotate) if it leaks; calls made with your key are yours. (b) x402: an agent pays per call by signing a USDC transfer on the Base network; no account is created. You are responsible for the wallets and keys you control and for the agents you run with them.

3. Prices, charges, no refunds

• Every call is charged only when it returns a successful (2xx) response. Failed calls (4xx, 5xx) are never charged, on either payment rail.
• Credits are prepaid, denominated in US dollars, do not expire, are not transferable between accounts and are not exchangeable for cash.
• No refunds. Credit purchases are final: neither unused nor consumed credits are refunded, except where a mandatory consumer law of your country requires it. Buy the amount you expect to use (the minimum is $5).
• Everything you consume is auditable. Every debit is written to your account's ledger with the tool, the amount and the balance after it. Your agent can read it at any time with GET https://toll402.dev/v1/account (header x-toll402-key, up to 500 entries per request) and report to you what it spent; every successful response also carries the x-toll402-charged and x-toll402-balance headers. Disputes about a specific debit: write to hello@toll402.dev with the account id and the ledger entry within 30 days.
• Automatic top-up is optional and off by default. If you turn it on, you authorize us to charge the card you saved at Stripe Checkout, without further action from you, the fixed amount you chose each time your balance falls below the threshold you chose, up to five times per day. You can change or switch it off, or remove the saved card, at any time from the account dashboard; it also switches itself off after a failed charge, and we email you when that happens. Each automatic top-up is a credit purchase under these terms.
• API keys: the owner key manages the account; agent keys you create can spend the shared balance up to the daily cap you set for them and cannot manage the account. You are responsible for every call made with any key of your account.
• Generation tasks (images, video) are charged when submitted and refunded in full to your credits if the provider reports that the task failed or it does not finish within two hours. Generated media is hosted by the provider for a limited time; download it promptly.
• Stored answers: the response of each paid credits call is kept for 24 hours so you can fetch it again; after that only the ledger entry remains.
• x402 payments settle on a public blockchain and are final once settled.
• Prices include our margin over third-party provider rates; taxes may apply depending on your jurisdiction and will be shown at checkout when required.

4. Acceptable use

You agree not to use the service to: break the law or the terms of any upstream provider; scrape, harass, profile or surveil individuals in ways they would not expect; send credentials or personal data that you are not entitled to process; attempt to bypass payment, rate limits or the sandbox; or resell raw provider data in violation of that provider's licence. We may suspend keys, wallets or IPs that abuse the service.

5. Third-party providers and data

Provider endpoints relay the response of the third-party vendor unchanged. That data is subject to the vendor's own terms and licence, which the catalog links where available. Directory data aggregates dated public evidence; "unverified" means we have no evidence, not that a business is fake. We do not warrant the accuracy, completeness or fitness of any result; you decide how to act on it.

6. Forged tools and listings

Tools created through the forge run in a sandbox and are published for everyone at the price the creator sets; the creator receives the published revenue share, paid by the payment protocol at settlement. Paid listings buy ranking and exposure for a fixed period and are not refundable once live. We may remove tools or listings that break these terms.

7. Availability and liability

The service is provided "as is" and "as available". Upstream vendors, blockchains and payment processors are outside our control; we do not guarantee uptime, and we are not liable for indirect, incidental or consequential damages. Our total liability for any claim is limited to the amount you paid us in the 90 days before the claim.

8. Changes, termination, law

We may update these terms; the date above changes when we do, and continued use means acceptance. You can stop using the service at any time; remaining credits stay available to your key and are not refunded (section 3). These terms are governed by the laws of Mexico; disputes go to the competent courts of Mexico unless mandatory consumer law says otherwise where you live.
